Steven Lorch advises public and private clients on mergers, acquisitions, divestitures and joint venture transactions in the power and oil and gas industries. He also has significant experience in complex financing and lending transactions, representing borrowers as well as bank and private fund lenders, and has represented creditors and distressed borrowers in restructuring transactions and workouts. Steven also has advised domestic and foreign clients in a diverse range of capital markets transactions.

Steven has also advised foreign and domestic clients with respect to various U.S. tax issues inherent in cross-border transactions, including those related to capital structure, income tax treaties, and controlled foreign corporation and passive foreign investment company status.

In addition to his tax practice, Steven remains active in pro bono matters involving nonprofit organizations by assisting them with matters related to their federal tax-exempt status.
