Susan R. Eisenberg

Susan Eisenberg is an associate based in the San Francisco office. She joined the firm in 2007.

Susan focuses her practice on the formation, marketing and management of domestic and offshore private investment funds including private equity buyout funds, venture capital funds, special situations funds, debt funds, secondary funds, hedge funds and funds of funds. She has represented sponsors forming funds ranging in size from several million dollars to multi-billion dollars and organizing separately managed accounts.

Susan regularly represents private fund sponsors in a wide range of corporate matters including structuring, operations and governance of their funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers. Her experience includes extraordinary fund events, such as investor defaults, fund liquidations and management company restructurings. She also works on structuring various private equity investments. Susan also has extensive experience in derivatives and futures agreements.

Susan also regularly counsels private fund sponsors on compliance and regulatory issues. She represents registered advisers in connection with ongoing SEC reporting and compliance matters and regulatory investigations, inquiries and examinations.

Susan also frequently represents institutional investors in connection with the review and negotiation of fund terms, rights and other considerations relating to proposed investments in leading private equity, venture, real estate, energy and hedge funds. She also has advised investors on co-investment opportunities and advisory committee issues. In addition, Susan represents buyers and sellers in their secondary market activities. Her experience includes traditional portfolio sales and structured secondaries.

Susan received her J.D. from Vanderbilt University Law School in 2007, where she was also an articles editor of the Vanderbilt Law Review. She received her B.S.E. from the University of Pennsylvania in 2004, where she was also a member of the indoor and outdoor varsity track teams
