Ted Paris has substantial experience representing issuers, underwriters and selling shareholders in numerous public offerings and in Rule 144A transactions and other private placements.

Mr. Paris has worked on transactions involving a wide variety of industries, including oil and gas exploration and production, petroleum refining and marketing, petrochemicals, contract drilling, marine construction and other oilfield services, shipping, waste management, information technology, physician practice management, medical products distribution, manufacturing, industrial services and consumer products and services. He has assisted various issuers in preparing to go public through pre-IPO restructurings, split-offs, bridge loans and other early-stage financings and business combination transactions.

Mr. Paris also has substantial experience representing numerous parties in mergers and other acquisition transactions, including negotiated acquisitions and dispositions, controlled auctions, tender offers and related financing transactions. He also has substantial experience in public spin-off transactions.

Mr. Paris previously worked for a large independent public accounting firm as a certified public accountant.
