Tom represents companies in interesting corporate, intellectual property and finance transactions. Many of Tom's clients are technology, health care or life science companies. Tom also advises Boards and management on corporate governance and other matters relating to the duties of officers and directors.

Tom has substantial experience in mergers and acquisitions, the formation of joint ventures, capital and debt financing and other complex transactions. He has also advised clients in the negotiation and preparation of many domestic and international manufacturing and distribution agreements. Tom has advised hospital and other healthcare clients in many mergers and acquisitions.

A substantial part of Tom’s practice is comprised of the negotiation of technology acquisition and development agreements and license agreements for life science, health care and other technology companies. Tom has also represented customers and providers in the negotiation of BPaaS, SaaS and other cloud computing and outsourcing arrangements.

Tom is a CIPP/US (Certified Information Privacy Professional). He advises clients on the requirements of the many laws affecting data security and electronic communications and negotiates data privacy and security agreements. Tom has advised many clients on User Agreements and Privacy Policies.
