Thomas R. Salley

Thomas Salley is a partner in the Cooley Business department. He joined the Firm in 1999 and is resident in the DC office.

Mr. Salley's clients include venture capital, private equity, mezzanine and other funds, business development companies, REITs and public and private companies. He is also a member of Cooley's Funds practice, forming large and small venture capital, private equity and other funds and assisting fund sponsors in the legal needs of their funds throughout their life cycle. These funds operate in a variety of fields, including information technology, middle-market mezzanine, life sciences, real estate and many other areas. Mr. Salley has also formed hedge funds, fund of funds and small business investment companies (SBIC's).

His real estate finance representations includes work with NYSE and NASDAQ-listed equity and mortgage REITS, across a wide range of asset classes, as well as private real estate funds and their sponsors. The Cooley REIT team includes experts in all aspects affecting a REIT's formation, capitalization and operations, including corporate, real estate, securities and tax.

His experience encompasses all areas of corporate, partnership and securities laws. He represents emerging growth and established companies in the full range of their life cycles, including formation, financing, expansion and IPO, as well as restructurings and workouts. Mr. Salley's experience in investment transactions ranges from entrepreneurial start-ups to preferred, mezzanine and public stock offerings.

His transactional work has spanned a wide range of industries involving mergers and acquisitions, public and private securities offerings, and corporate, LLC, partnership and real estate finance.

Prior to joining Cooley, Mr. Salley was a partner at Andrews & Kurth LLP in Washington, DC and General Counsel of Allied Capital Corporation, a NYSE-listed investment company engaged in venture capital, LBO, mezzanine and real estate finance.

Mr. Salley received a JD from the University of Virginia School of Law in 1983, where he served as a senior editor of the Virginia Journal of International Law, and a bachelor's degree from Washington & Lee University in 1980, where he was a member of Phi Beta Kappa.

Mr. Salley is a member of the Virginia and District of Columbia Bar Associations, the ABA's Venture Capital and Private Equity Committee, and the DC Bar Corporation, Finance and Securities Law Section. He served as an Adjunct Professor of Law at the Georgetown University Law Center.
