Thomas R. Woolsey

Tom Woolsey focuses his practice on the acquisition, development and financing of energy projects in the United States and Latin America. Tom has been the lead attorney on major acquisition efforts involving both generation projects and electric distribution companies and has played a leading role in the successful development, acquisition, disposition or financing of projects with more than 9,000 MW of generating capacity. Tom has served as lead counsel for several project sponsors in major debt and equity financings for renewable energy electric generation facilities and for thermal electric generation facilities, including some of the world's leading developers and owners of such facilities, and continues to be actively involved in the preparation and negotiation of all of the key project documents required to successfully develop, finance, construct, operate and maintain such facilities. The facilities include those using each of the major renewable energy technologies, including wind-powered, solar, hydro, biomass, and geothermal, as well as simple and combined cycle natural gas-fired and coal-fired facilities. He regularly assists clients with respect to the acquisition and disposition of assets and companies, development of electric generation projects, turnkey engineering, procurement and construction contracts, equipment procurement contracts, power purchase agreements, tolling agreements, operation and maintenance related agreements, joint venture structures and general commercial practice and contract issues.

In addition to his experience in private practice, Tom served for more than five years as Senior Vice President, senior counsel, and Corporate Secretary of a major bank holding company. In this role, he was responsible for all legal affairs for the institution and its subsidiaries and the legal aspects of mergers and acquisitions and major financing deals.

In law school, Tom was a member of the Order of the Coif and served as recent developments editor for the University of Illinois Law Forum.
