Tim Hoxie focuses his practice on corporate governance, private equity, corporate finance, and mergers and acquisitions. He has extensive experience representing a variety of industries and business entities, including public and private companies, partnerships, and limited liability companies.

Tim's mergers and acquisitions experience includes stock and asset acquisitions, tender offers, acquisitive mergers, spin-offs, reorganizations, exchange offers, and "going private" transactions. He has substantial experience representing investment funds and other private investors acquiring major or controlling interests in businesses. Tim also has extensive international corporate finance and acquisition experience. He has represented overseas clients seeking capital in the United States as well as clients seeking to acquire or sell businesses in the United States. Tim has represented numerous domestic and overseas public and private companies on general securities and corporate governance matters.

Tim also has represented private equity investors (including governmental investors) in connection with global investments in private and public transactions. His finance experience includes debt and equity transactions, representing borrowers, lenders, and issuers. His lending work encompasses secured and unsecured financing in a variety of contexts, including leveraged buyouts and other acquisitions.

Tim is a member of the State Bar of California and the American Bar Association, and he has chaired numerous business law committees. He is a past chair of the California State Bar's Business Law Section and of its Corporations Committee, is presently Co-chair of the section's Opinions Committee, Vice Chair of the ABA Business Law Section Opinions Committee, and a member of the Tri-Bar Opinions Committee.
