Todd’s practice consists of multiple types of energy related transactions relating to oil and gas assets, energy infrastructure assets and financings.
Energy Infrastructure. Todd’s energy infrastructure practice experience includes energy infrastructure project development and financing, and acquisitions and dispositions of energy infrastructure projects. Todd has substantial domestic and international experience. His international experience includes work in Argentina, Egypt, Indonesia, Kuwait, Mexico, Oman, the Palestinian Territories, Qatar, Trinidad and Tobago, the United Kingdom, the United Arab Emirates and Venezuela.
His experience with energy infrastructure projects includes the development and financing of coal, wind, solar, biomass, waste-to-energy and nuclear power generation facilities; LNG liquefaction facilities; LNG receiving terminals; various petrochemical projects, including methanol, ammonia, urea and propylene production facilities; pipelines, gas storage, gas separation and fractionation facilities; and terminalling facilities. In connection with such projects, Todd has experience negotiating various forms of joint venture agreements, power purchase agreements (for wind, solar, biomass, conventional and nuclear power projects), natural gas supply and other throughput agreements, FEED contracts, technology license agreements, various forms of EPC contracts, industrial gases supply agreements, offtake agreements, operation and maintenance agreements and various forms of bridge, development, and permanent project finance agreements.
Oil and Gas. Todd’s oil and gas transactional practice experience includes oil and gas acquisitions, participations, divestitures, financing and various forms of equity investments.
His oil and gas practice focuses on the acquisition, disposition, exploration and development of oil and gas properties, development, acquisitions and dispositions of midstream assets and acquisitions, dispositions and financing for oil and gas service companies. In addition to purchase and sale agreements, Todd has experience negotiating joint development agreements, including DrillCo Transactions, participation agreements, gathering agreements, processing agreements, fractionation agreements and joint operating agreements.
Financial Institutions. Todd also represents financial institutions and borrowers in a variety of corporate financing activities, including project financing; general commercial lending; reserve-based financings; acquisition financing; and letter of credit facilities; and various structured financing transactions, including volumetric production payments, prepaid forward contracts and receivables financing.
