Stuart Ogg represents issuers, underwriters, and investors in a variety of capital markets transactions, including public and Rule 144A debt offerings, initial public offerings, primary and secondary follow-on equity offerings, debt restructurings and recapitalizations, tender offers and exchange offers, and private equity and venture capital investments. Stuart also has extensive experience in public and private merger and acquisition transactions. Stuart regularly counsels clients on general federal securities law issues, NYSE and NASDAQ listing compliance, SEC disclosure and reporting, and corporate governance matters, including Dodd-Frank and Sarbanes-Oxley Act compliance.

Notable recent representations have included secondary public equity offerings and a Rule 144A high yield debt offering by MagnaChip Semiconductor Corporation; representation of an ad hoc group of senior unsecured noteholders in private exchange offers, consent solicitations and related backstop commitment for a new second lien credit facility of Travelport Limited; public convertible debt and equity offerings by KB Home on behalf of managing underwriters Citigroup Global Markets and Credit Suisse Securities; a Rule 144A high yield secured notes offering and public merger transaction for Viasystems Group, Inc.; and public and private common stock offerings by Thomas Properties Group, Inc.
