Wayne Boberg is a partner in Winston & Strawn’s corporate department who concentrates his practice in debt and equity offerings for real estate investment trusts and other public corporations; initial public offerings; new company formation and venture capital investments; mergers and acquisitions; and other financings for private companies. He has represented real estate developers in connection with various projects, including a full-block historic redevelopment project in a major U.S. city.

Mr. Boberg has served as lead issuer’s counsel for several initial public offerings that have raised in excess of $700 million. He has been lead underwriter’s counsel in numerous public offerings, raising in excess of $1.25 billion. Mr. Boberg has advised public companies in connection with follow-on offerings, resale shelf offerings, and 1934 Act compliance matters.

Mr. Boberg has also served as counsel to the independent directors committee and other special committees of the boards of directors of various public companies in connection with various equity and debt offerings, mergers and acquisitions, and interested party transactions.

His experience throughout his career has included advising clients on lease financings, and service contract-based financings; representing institutional clients with respect to their investment in various business interests and real property through joint ventures, limited liability companies, general partnerships, and limited partnerships; and representing private companies in connection with their negotiation of both equity and debt financings with institutions, banks, and private individuals, as well as representing financial institutions with regard to various loan transactions.

Mr. Boberg received a B.S., with high honors, from Indiana University in 1975 and a J.D., magna cum laude, from the Indiana University School of Law in 1978.
