Wayne M. Chancellor is a Denver public companies and securities attorney who focuses on mining, natural resources, corporate operations and general business transactions. Mr. Chancellor has extensive experience with the multitude of agreements, permitting and environmental requirements, government affairs and corporate transactions associated with the various stages of the mining life cycle.
Mr. Chancellor has advised clients on a wide range of mining-related matters, including confidentiality and joint venture agreements, commercial contracting, asset purchases and sales, regulatory compliance and training, and mergers and acquisitions. He is well versed in anti-bribery, anti-corruption and anti-money laundering laws, such as the U.S. Foreign Corrupt Practices Act (FCPA), and the application of such laws in a corporate setting. Mr. Chancellor has routinely represented clients before local, state and federal agencies as well as in state and federal courts, and has an understanding of the complexities of mining law requirements in a number of jurisdictions in both North and South America.
Prior to joining Holland & Knight, Mr. Chancellor served as a vice president and regional general counsel for one of the world's largest gold mining companies. As such, Mr. Chancellor has a thorough understanding of mining operations, as well as a depth of knowledge related to the conduct of business. In his role as a senior legal advisor to the corporate management team, Mr. Chancellor counseled on matters covering the entire spectrum of company operations, ranging from employment/labor disputes in the U.S. and Latin America to complex multi-party litigations. He was senior U.S. counsel on a number of multimillion-dollar transactions, the person primarily responsible for all land and water acquisitions and leases, represented clients on intellectual property matters and patent drafting, and has extensive government and commercial contracting experience.
Previously, Mr. Chancellor was in private practice in Colorado and California. He advised clients on import/export controls, technology licensing, and patent and trademark prosecution. Mr. Chancellor has also served as legal counsel for an advanced engineering and manufacturing company focused primarily on government contracting.
Mr. Chancellor has been invited to be a guest speaker by organizations such as the Rocky Mountain Mineral Law Foundation and the Society of Corporate Compliance and Ethics. Additionally, he is an adjunct professor at the University of Denver Sturm College Of Law.
